1) What is Upcite?

We provide a platform where sellers (vendors) can sell preloved and upcycled furniture. All transactions occur between buyer and seller. You acknowledge that Upcite is not party to the sales contract between buyer and seller. In attempt to help make our platform as best as it can be, we may at our discretion choose to facilitate communications between buyer and seller in relation to a transaction. However, we accept no liability on behalf of either buyers or sellers on the Upcite platform. By selling on Upcite, you agree and acknowledge these terms.

2) Introduction

Welcome to upcite.co.uk, operated by Upcite Ltd ("us", "we", "our", or "Company"). Please read these Terms and Conditions ("Terms") carefully as they govern your use of the upcite.co.uk website and services (collectively, the "Service") and constitute a binding legal agreement between you and the Company. By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access our Service. Your access to and use of our Service is also conditioned on your acceptance of and compliance with our Privacy Policy, which describes our policies and procedures on the collection, use, and disclosure of your personal information.

To access and begin using Upcite, you must register for an Upcite account. When you register for an account, you may be required to provide us with some information about yourself, such as your email address or other contact information. You agree that the information you provide to us is accurate and that you will keep it up-to-date at all times.

You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

3) Acceptance of Terms

By choosing to sell on Upcite, you signify your agreement to these terms. If you do not agree, you must not access or use the website.

4) Changes to Terms.

Upcite reserves the right to modify these Terms at any time at its sole discretion. Your continued use of the Website signifies your acceptance of our revised Terms.

5) Access and Account Security

You must create an account on Upcite in order to sell on the Upcite platform. You are responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account.

6) Vendor Obligations

  • Only you are responsible for the information and accuracy of your listings. Therefore, it is a requirement that listings are regularly maintained and monitored.
  • To help maintain a high-quality marketplace, high quality visuals within product photos are essential. If we feel like your listing is lacking in information or in terms of photos, we may temporarily disable the listing until the amendment has been made.
  • Communication is essential. If you choose to sell on Upcite, it is an expectation that sellers will reply to customer and Upcite requests in a timely manner.
  • Vendors are also responsible for the shipment and quality of the items they sell.
  • Sellers may also choose for Upcite to help organise shipping. In the event that an item gets damaged or lost, we will help to raise a claim with the shipping company on your behalf. If a resolution is not found, the responsibility of the damaged item falls back to the seller.
  • Sellers also acknowledge that if Upcite helps to generate a sale because of activities on or off the Upcite.co.uk website Upcite is entitled to a 11.% fee from the total value of the sale.
  • Sellers acknowledge that Upcite is an intermediary between buyer and seller and is not party to the sales agreement between buyer and seller.
  • By listing an item for sale on Upcite, you also give permission for Upcite to use your product information like images, in marketing material and activities.

7) Limitation of Liability

Our role is solely to facilitate the availability of the Service. We do not have, and will not accept, any liability to Users in respect of any direct, indirect, or consequential loss or damage incurred by any user in connection with our Service or in connection with the use, inability to use, or results of the use of our Service, any websites linked to it, and any materials posted on it. This includes loss of: income or revenue; business; profits or contracts; anticipated savings; data; goodwill; tangible property; wasted management or office time. Nor is Upcite liable for items during shipping (this includes “Upcite Shipping” whereby Upcite helps to arrange shipping on the seller’s behalf). The seller remains responsible for the item during shipping. Shipping fees are estimated thus, Upcite reserves the right to adjust/ cancel the order if incorrect (the user can cancel the order if unsatisfied with any adjustments).

Nothing in these Terms excludes our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

8) Refunds and Returns 

Refund requests should be submitted directly to the Seller in accordance with the Seller's refund policy. We do not control or guarantee the existence, quality, safety, or legality of items advertised; the truth or accuracy of users' content or listings; the ability of sellers to sell items; or the ability of buyers to pay for items.

If a buyer and seller are unable to come to an agreement, either party can contact Upcite where will we will attempt to facilitate a resolution in accordance with our refund policy.

9) Changes To The Terms

We reserve the right, in our sole discretion, to change, modify, add, or remove portions of these Terms at any time without prior notice. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Service following the posting of changes will mean that you accept and agree to the changes.

10) Our Obligations as A Platform

  • Checking listings for quality and imagery before making them live.
  • Giving selling support, advice and guidance if asked.
  • To reward good sellers and remove those that are not best matched with us.

11) Governing Laws and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. You agree to submit to the exclusive jurisdiction of the courts of the United Kingdom to settle any dispute arising out of or in connection with these Terms or their subject matter or formation.

12) Fees

Upcite is entitled to 11.5% of the final sales amount of any sale/ order generated as a result of Upcite’s marketing or any activity (including activities on or off the Upcite website) that contributed to an order.

For example, if an item was priced at £100 + £50 Shipping, then Upcite would be entitled to £17.25 (£150*11.5%).

13) User Conduct and Prohibited Uses

Users agree to abide by all laws, rules, and regulations applicable to their use of the Website. Prohibited uses include, but are not limited to, those that are illegal, infringe upon another's rights, or are intended to harm or exploit any individual in any way. Please report any prohibited behaviour by other Upcite users to Upcite@outlook.com

14) Termination and Account Cancellation

Upcite may, in its sole discretion, terminate your access to the Website and your account for any reason, including, without limitation, if Upcite believes that you have violated or acted inconsistently with these Terms.
