1) What is Upcite?

We provide a platform where sellers (vendors) can sell preloved and upcycled furniture. All transactions occur between buyer and seller. You acknowledge that Upcite is not party to the sales contract between buyer and seller. In attempt to help make our platform as best as it can be, we may at our discretion choose to facilitate communications between buyer and seller in relation to a transaction. However, we accept no liability on behalf of either buyers or sellers on the Upcite platform. By selling on Upcite, you agree and acknowledge these terms.

2) Introduction

Welcome to upcite.co.uk, operated by Upcite Ltd ("us", "we", "our", or "Company"). Please read these Terms and Conditions ("Terms") carefully as they govern your use of the upcite.co.uk website and services (collectively, the "Service") and constitute a binding legal agreement between you and the Company. By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access our Service. Your access to and use of our Service is also conditioned on your acceptance of and compliance with our Privacy Policy, which describes our policies and procedures on the collection, use, and disclosure of your personal information.

To access and begin using Upcite, you must register for an Upcite account. When you register for an account, you may be required to provide us with some information about yourself, such as your email address or other contact information. You agree that the information you provide to us is accurate and that you will keep it up-to-date at all times.

You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

3) User Responsibilities 

Upcite consumers/users (those looking to purchase furniture) have different responsibilities’ when using our platform:

  • Users agree to complete transactions in a timely manner once they make a purchase commitment and to make payment promptly using the methods available on the Service.
  • To where possible, provide timely responses when communicating with other Upcite users.

4) Purchaser Obligations

Purchasers agree to provide accurate payment information and acknowledge that they are responsible for any payments owed for purchases made through the Website.

5) Transactions and Fees

Transactions are agreements between Buyers and Sellers. We are not a party to such agreements and are not liable for any issues arising from them.

Item pricing, shipping and other product information is at the responsibility of the seller. Please see point 8 below regarding returns policies regarding shipping.

6)  Prohibited activities

You agree not to use the Service for any illegal activities, to infringe on the rights of others, or to breach any laws regarding commerce.

You also agree not to post content that is offensive, harmful, or otherwise objectionable. We reserve the right to investigate and terminate your use of the Service if you violate these Terms.

7) Intellectual Property

All intellectual property rights in our Service are owned by the Company and our licensors, including but not limited to all software, text, images, and logos.

8 ) Refunds and Returns

Refund requests should be submitted directly to the Seller in accordance with the Seller's refund policy. We do not control or guarantee the existence, quality, safety, or legality of items advertised; the truth or accuracy of users' content or listings; the ability of sellers to sell items; or the ability of buyers to pay for items. Please see our refund policy for more information.

If a Buyer is unable to obtain a satisfactory refund directly from the Seller, the Buyer may contact us, and we will attempt to facilitate the resolution of the dispute in accordance with our Dispute Resolution Policy.

9) Limitation of Liability

Our role is solely to facilitate the availability of the Service. We do not have, and will not accept, any liability to Users in respect of any direct, indirect, or consequential loss or damage incurred by any user in connection with our Service or in connection with the use, inability to use, or results of the use of our Service, any websites linked to it, and any materials posted on it. This includes loss of: income or revenue; business; profits or contracts; anticipated savings; data; goodwill; tangible property; wasted management or office time. Nor is Upcite liable for items during shipping (this includes “Upcite Shipping” whereby Upcite helps to arrange shipping on the seller’s behalf).

In the event where an item is damaged or lost during an occasion where Upcite is helping with shipping, Upcite will help to raise a claim with the shipping company. If a satisfying agreement is not met for all parties, the responsibility of the item will fall back to the seller.

Shipping fees are estimated thus, Upcite reserves the right to adjust/ cancel the order if incorrect (the user can cancel the order if unsatisfied with any adjustments).

Nothing in these Terms excludes our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

10) Changes To These Terms

We reserve the right, in our sole discretion, to change, modify, add, or remove portions of these Terms at any time without prior notice. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Service following the posting of changes will mean that you accept and agree to the changes.

11) Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. You agree to submit to the exclusive jurisdiction of the courts of the United Kingdom to settle any dispute arising out of or in connection with these Terms or their subject matter or formation.

12) Severability

If any provision or part of a provision of these Terms is found by any court or authority of competent jurisdiction to be unlawful, otherwise invalid, or unenforceable, such provision or part-provision will be struck out of these Terms, and the remainder of these Terms will apply as if the offending provision or part-provision had never been agreed.

13) Assignment 

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void.

14) User Conduct and Prohibited Uses

Users agree to abide by all laws, rules, and regulations applicable to their use of the Website. Prohibited uses include, but are not limited to, those that are illegal, infringe upon another's rights, or are intended to harm or exploit any individual in any way. Please report any prohibited behaviour by other users to Upcite@outlook.com.

15) Termination and Account Cancellation

Upcite may, in its sole discretion, terminate your access to the Website and your account for any reason, including, without limitation, if Upcite believes that you have violated or acted inconsistently with these Terms.
